THIS FIRST AMENDMENT TO COMMITMENT LETTER (this “Amendment”) is entered into as of June 7, 2023, by and among Sabre GLBL Inc. (the “Company” or “you”), Centerbridge Credit CS, L.P. (along with its affiliates and other entities to which Centerbridge Credit CS, L.P. or its affiliates provide investment management services to, “Centerbridge”), Opps Sabre Holdings, L.P. (“Oaktree”), Oak Hill Advisors, L.P., on behalf of certain investment funds and separate accounts that it manages (“Oak Hill”) and JPMorgan Chase Bank, N.A. (“JPM” and, together with Centerbridge, Oaktree and Oak Hill, the “Commitment Parties” or “us”).
