This Voting and Investment Agreement (this “Agreement”) is made and entered into as of June 30, 2023 (the “Effective Date”), by and among each of the stockholders of GEN Restaurant Group, Inc., a Delaware corporation (the “Corporation”), set forth on Schedule 1 and a party hereto as of the Effective Date (together with any other Person who hereafter becomes a party to this Agreement pursuant to the provisions hereof as a holder of shares of capital stock of the Corporation, each, a “Holder” and, collectively, the “Holders”). The Holders are also referred to collectively herein as the “Parties.”

This will confirm the agreement by and among all the undersigned that the Statement on Schedule 13D filed on or about this date and any further amendments thereto with respect to beneficial ownership by the undersigned of the Class A Common Stock, par value $0.001 per share (the “Common Stock”) of GEN Restaurant Group, Inc., a Delaware corporation (the “Issuer”), and such other securities of the Issuer and its affiliates that the undersigned may acquire or dispose of from time to time. This agreement is being filed on behalf of each of the undersigned in accordance with Rule 13d-1(k)(1) under the Securities Exchange Act of 1934.
