TERM LOAN CREDIT AGREEMENT, dated as of July 11, 2023, among (i) Henry Schein, Inc., a Delaware corporation (the “Borrower”), (ii) the several Lenders party hereto (the “Lenders”), (iii) JPMorgan Chase Bank, N.A., as administrative agent, (iv) U.S. BANK NATIONAL ASSOCIATION, as syndication agent (in such capacity, the “Syndication Agent”) and (v) TD Bank, N.A., Bank of America, N.A. and UniCredit Bank, A.G., as co-documentation agents (each, in such capacity, a “Co-Documentation Agent”).
