Seagate HDD Cayman, an exempted company incorporated with limited liability under the laws of the Cayman Islands (the “Issuer”), proposes to issue and sell to the several purchasers named in Schedule I hereto (the “Initial Purchasers”), for whom you are acting as representative (the “Representative” or “you”), $1,300,000,000 principal amount of its 3.50% Exchangeable Senior Notes due 2028 (the “Firm Notes”) to be issued pursuant to the provisions of an Indenture, to be dated on or about September 13, 2023 (the “Indenture”) among the Issuer, the Guarantors (as defined below) and Computershare Trust Company, National Association, as Trustee (in such capacity, the “Trustee”). The Issuer also proposes to issue and sell to the Initial Purchasers not more than an additional $200,000,000 principal amount of its 3.50% Exchangeable Senior Notes due 2028 (the “Additional Notes”) if and to the extent that you, as Representative, shall have determined to exercise, on behalf of the Initial Purchase
