Cerevel Therapeutics Holdings, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom Goldman Sachs & Co. LLC (“Goldman”) is acting as representative (the “Representative”), 19,728,189 shares of its common stock, par value $0.0001 per share set forth in Schedule II hereto (the “Firm Shares”).
