Take-Two Interactive Software, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several Underwriters listed in Schedule 1 hereto (the “Underwriters”), for whom you are acting as representative (the “Representative”), $50,000,000 principal amount of its 5.000% Senior Notes due 2026 (the “2026 Notes”) and $300,000,000 principal amount of its 4.950% Senior Notes due 2028 (the “2028 Notes” and, together with the 2026 Notes, the “Securities”).
