This REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made as of March 6, 2024 by and among Ventyx Biosciences, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”), and the several purchasers signatory hereto (each, a “Purchaser” and collectively, the “Purchasers”).

This STOCK PURCHASE AGREEMENT (this “Agreement”) is dated as of March 6, 2024, by and between Ventyx Biosciences, Inc., a Delaware corporation (the “Company”), and each of the purchasers listed on Exhibit A attached to this Agreement (each, including its successors and assigns, a “Purchaser” and together, the “Purchasers”).
