This Mutual Non-Disclosure and Confidentiality Agreement (this “Confidentiality Agreement”) is made, effective as of October 27, 2023 (the “Effective Date”), by and between QHP Capital, L.P., a Delaware limited partnership, with a place of business at 4509 Creedmoor Road, Suite 403, Raleigh, North Carolina 27612 (“QHP”), and Societal CDMO, Inc., a Pennsylvania corporation, with a place of business at 1 E. Uwchlan Ave, Suite 112, Exton, Pennsylvania 19341 (“Company”), because QHP and Company desire to discuss and explore a possible negotiated business transaction between themselves or their Affiliates (as defined below) or to otherwise share Confidential Information (as defined below) between themselves or their Affiliates (the “Proposed Transaction”).
