This Master Repurchase Agreement (this “Agreement”) is made as of March 15, 2024, among GOLDMAN SACHS BANK USA, as administrative agent (“Administrative Agent”), Buyers (as defined herein) from time to time party hereto, PMC FMSR VFN FUNDING, LLC, as a seller (the “PMC FMSR Seller”), PMH FMSR VFN FUNDING, LLC, as a seller (the “PMH FMSR Seller” and together with the PMC FMSR Seller, the “Sellers”), PENNYMAC CORP., as a parent (“PMC FMSR Parent” or “PMC”), and PENNYMAC HOLDINGS, LLC, as a parent (“PMH FMSR Parent” or “PMH” and, together with the PMC FMSR Parent, the “Parents”). THIS SERIES 2024-VF1 GUARANTY, dated as of March 15, 2024 (including any schedule attached hereto and as amended, restated, supplemented and otherwise modified from time to time, this “Guaranty”), is executed by PennyMac Mortgage Investment Trust (“VFN Guarantor”), a Maryland investment real estate trust, PennyMac Corp., a Delaware corporation (“PMC Guarantor,”) and PennyMac Holdings, LLC, a Delaware limited liability company (“PMH Guarantor”, and together with VFN Guarantor and the PMC Guarantor, each a “Guarantor” and together the “Guarantors”) in favor of Goldman Sachs Bank USA, as Administrative Agent (the “Administrative Agent”) for the buyers party to the Series 2024-VF1 Repurchase Agreement referred to below.
