This Agreement and Plan of Reorganization (the “Agreement”) is made as of [July __, 2024] by Thrivent Series Fund, Inc. (the “Fund”), a Minnesota corporation, on behalf of its series, Thrivent Global Stock Portfolio (the “Acquiring Portfolio”) and Thrivent Low Volatility Equity Portfolio (the “Target Portfolio”). Thrivent Financial for Lutherans is also party to the Agreement solely for purposes of Section 3.F.

Thrivent Financial for Lutherans (“TFL”) and Thrivent Series Fund, Inc. (the “Corporation”) hereby agree that, effective January 1, 2024, the first sentence of Item 3 of Administrative Services Agreement, dated January 1, 2009, as amended, between TFL and the Corporation (the “Agreement”), is hereby amended to read as follows:

This Amendment No. 1 (the “Amendment”), dated as of August 17, 2023, amends the Participation Agreement between Thrivent Financial for Lutherans (including its insurance separate accounts, “Thrivent”) and LB Series Fund, Inc. (currently Thrivent Series Fund, Inc., “TSF”) dated as of December 15, 2003 (the “Agreement”). Thrivent and TSF hereby agree to amend the Agreement as follows:

Thrivent Financial for Lutherans (“TFL”) and Thrivent Series Fund, Inc. (“TSF”) hereby agree that, effective January 1, 2024, the Investment Advisory Agreement between TFL and TSF dated April 10, 2002, as amended (the “Agreement”), is hereby amended to reflect an amended fee schedule for Thrivent Money Market Portfolio. A revised Schedule I is attached hereto.
