THIS SHARE PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of March 27, 2024 (the “Agreement Date”), by and among Take-Two Interactive Software, Inc., a Delaware corporation (“Buyer”), Groundhog 2, LLC, a Delaware limited liability company (“Buyer Sub”), Gearbox Entertainment Company Holding AB, a company organized under the laws of Sweden (“Seller”) and Embracer Group AB, a company organized under the laws of Sweden (“Parent”).
