This Amended and Restated Investment Advisory Agreement (the “Agreement”) is entered into as of March 14, 2024 by and between APOLLO S3 PRIVATE MARKETS FUND (the “Fund”), a Delaware statutory trust, and APOLLO S3 RIC MANAGEMENT, L.P., a limited partnership duly organized and existing under the laws of the State of Delaware (the “Adviser”). This Agreement amends and restates the Investment Advisory Agreement, dated December 19, 2023 (the “Prior Agreement”), between the Fund and Apollo Credit Management, LLC, a limited liability company duly organized and existing under the laws of the State of Delaware (the “Prior Adviser”).

This Amended and Restated Expense Limitation Agreement (the “Agreement”) is made this 14th day of March, 2024, by and between APOLLO S3 PRIVATE MARKETS FUND, a Delaware statutory trust (the “Fund”), and APOLLO S3 RIC MANAGEMENT, L.P., a Delaware limited partnership (the “Adviser”). This Agreement amends and restates the Expense Limitation Agreement, dated December 19, 2023, between the Fund and the Fund’s prior investment adviser, Apollo Credit Management, LLC, a Delaware limited liability company (the “Prior Adviser”).
