THIS PARTICIPATION AGREEMENT, made and entered into as of the 28th day of March, 2006, by and among VANGUARD VARIABLE INSURANCE FUND (hereinafter the “Fund”), a Delaware business trust, THE VANGUARD GROUP, INC. (hereinafter the “Sponsor”), a Pennsylvania corporation, VANGUARD MARKETING CORPORATION (hereinafter the “Distributor”), a Pennsylvania corporation, and TRANSAMERICA FINANCIAL LIFE INSURANCE COMPANY (hereinafter the “Company”), a New York corporation, on its own behalf and on behalf of each separate account of the Company named in Schedule A hereto as may be amended from time to time (each such account hereinafter referred to as the “Account”).

This Amendment (the “Amendment”) is entered into as of July 7, 2023 (the “Effective Date”), by and among Transamerica Life Insurance Company (the “Company”), on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), Vanguard Variable Insurance Funds (the “Fund”), Vanguard Marketing Corporation (the “Distributor”), and The Vanguard Group, Inc. (the “Sponsor”) (collectively, the “Parties”).

(hereinafter the “Sponsor”), VANGUARD MARKETING CORPORATION (hereinafter the “Distributor”), and TRANSAMERICA FINANCIAL LIFE INSURANCE COMPANY (hereinafter the “Company”), on its own behalf and on behalf of each separate account of the Company named in Schedule A hereto as may be revised from time to time (each such account hereinafter referred to as the “Account”). Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Agreement.
