This Amendment (“Amendment”) is entered into as of February 1, 2024 by and among Teachers Insurance and Annuity Association of America (the “Company”) on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A of the Agreement as may be amended from time to time, and BlackRock Advisors, LLC (“Adviser”), and BlackRock Investments, LLC (“Underwriter”).

THIS AGREEMENT, made and entered into as of this 28th day of February, 2024 by and among Teachers Insurance and Annuity Association of America (hereinafter, the “Company”), a New York insurance company, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each account hereinafter referred to as the “Account”), New York Life Investment Management LLC (hereinafter the “Adviser”), a Delaware limited liability company, and NYLIFE Distributors LLC (hereinafter the “Underwriter”), a Delaware limited liability company. The Adviser and the Underwriter are the manager and distributor of certain open-end management investment companies listed on Schedule A (hereinafter the “Fund”).
