AMENDED AND RESTATED FIRST LIEN CREDIT AND GUARANTEE AGREEMENT, dated as of August 3, 2023, among Janus International Group, LLC, a Delaware limited liability company (the “Borrower”), Janus Intermediate, LLC, a Delaware limited liability company (“Holdings”), the Subsidiary Guarantors from time to time party hereto, Goldman Sachs Bank USA (“GS Bank”) (as successor to UBS AG, Stamford Branch), as Administrative Agent and Collateral Agent, and each of the Lenders from time to time party hereto.
