This SECOND AMENDED AND RESTATED STOCKHOLDERS AGREEMENT, dated as of May 6, 2024 (this “Agreement”), is by and between Air Transport Services Group, Inc., a Delaware corporation (the “Company”), and Amazon.com, Inc., a Delaware corporation (“Amazon”) and amends and restates in its entirety that certain Amended and Restated Stockholders Agreement, dated December 20, 2018, by and between the Company and Amazon.
