PRELIMINARY STATEMENT. The Company, the lenders parties thereto and Citibank, as agent, are parties to the Amended and Restated Credit Agreement dated as of November 1, 2021 (the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01, the Borrowers, the parties hereto and Citibank, as Agent, desire to amend and restate the Existing Credit Agreement as herein set forth.
