This FIRST AMENDMENT (this “Amendment”), dated as of May 31, 2024, to the Fifth Amended and Restated Credit Agreement dated as of June 2, 2023 (as amended, supplemented, amended and restated or otherwise modified from time to time, the “Credit Agreement”, and as amended by this Amendment, the “Amended Credit Agreement”), among HUMANA INC., a Delaware corporation (the “Company”), Royal Bank of Canada and Banco Bilbao Vizcaya Argentaria, S.A. New York Branch (the “New Banks”), certain banks and other financial institutions party thereto (the “Existing Banks”; together with the New Banks, the “Banks”) and JPMORGAN CHASE BANK, N.A., as administrative agent for the Banks hereunder (in such capacity, the “Agent”).
