This STOCK AND ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of June 4, 2024, is made by and among Hanesbrands Inc., a Maryland corporation (“Seller”), ABG-Sparrow IPCo LLC, a Delaware limited liability company (“ABG Purchaser”), the other Persons who become party to this Agreement as Purchasers following the date hereof by execution of a Joinder (each such Person, a “Purchaser Designee” and, collectively, the “Purchaser Designees” and, together with ABG Purchaser, each a “Purchaser” and, collectively, the “Purchasers”) and, solely for purposes of Section 11.17, Authentic Brands Group LLC, a Delaware limited liability company (“ABG Topco”). As you are aware, Hanesbrands Inc. (the “Company”) is contemplating a sale of the Champion-related businesses (the “Potential Transaction”). In connection with this process, your continued dedication to, and service with, the Company are viewed by the Company as important to the effective execution of the Potential Transaction.
