This agreement (this “Agreement”) is entered into on May 31, 2024, by and between GigAcquisitions7 Corp., a Cayman Islands exempted company with registration number 409716 (the “Subscriber” or “you”), and GigCapital7 Corp., a Cayman Islands exempted company with registration number 409715 (the “Company”). Pursuant to the terms hereof and in accordance with the memorandum and articles of association of the Company (the “Articles”), the Company hereby accepts the offer the Subscriber has made to purchase 16,999,999 Class B ordinary shares, $0.0001 par value per share (the “Class B Ordinary Shares”, and the Class B Ordinary Shares being purchased, the “Shares”) of the Company.
