This SECOND AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of June 10, 2024 among TELEDYNE TECHNOLOGIES INCORPORATED, a Delaware corporation (the “Company”), certain Subsidiaries of the Company party hereto pursuant to Section 2.16 (each a “Designated Borrower” and, together with the Company, the “Borrowers” and, each a “Borrower”), the Lenders (defined herein), the Subsidiary Guarantor (defined herein) and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer and amends and restates that certain Amended and Restated Credit Agreement dated as of March 4, 2021 (as amended or otherwise modified from time to time prior to the Closing Date, the “Existing Credit Agreement”), among the Company, each Borrower from time party thereto, each guarantor from time to time party thereto, each lender from time to time party thereto and Bank of America, N.A., as administrative agent.
