MARKETING AGENT AGREEMENT dated and effective as of May 28, 2024 (this “Agreement”) among Invesco Galaxy Ethereum ETF, a Delaware statutory trust (the “Trust”), Invesco Distributors, Inc., a Delaware corporation (the “Marketing Agent”), and Invesco Capital Management LLC, a Delaware limited liability company (the “Sponsor”). BNY Mellon and Customer are collectively referred to as the “Parties” and individually as a “Party”.
