This Stock Purchase Agreement (this “Agreement”), dated as of July 8, 2024, is entered into between PHC UTILITIES, INC., an Ohio corporation (“Seller”), Unitil Corporation, a New Hampshire corporation (“Buyer”), and joining solely for purposes of Section 3.01, ARTICLE VIII, Section 9.02, and ARTICLE X, HEARTHSTONE UTILITIES, INC., d/b/a HOPE COMPANIES, INC., an Ohio Corporation (“Parent”).
