THIS AGREEMENT is made and entered into as of this 14th day of May, 2024, (“Effective Date”) by Grayscale Investments, LLC, as sponsor of the Grayscale Bitcoin Mini Trust (BTC), a Delaware limited liability company (the “Sponsor”), and Foreside Fund Services, LLC, a Delaware limited liability company (“Foreside”).
