This SECOND AMENDED AND RESTATED SUPPORT AGREEMENT is made as of October 29, 2024 (this “Agreement”), between Brookfield Corporation (“BN”), a corporation existing under the laws of the Province of Ontario, and Brookfield Wealth Solutions Ltd. (formerly known as Brookfield Reinsurance Ltd.) (the “Company”), an exempted company limited by shares existing under the laws of Bermuda (BN and the Company are collectively referred to as the “Parties” and individually as a “Party”).

WHEREAS, the Parties entered into an administration agreement dated June 28, 2021 pursuant to which Brookfield provides to the Company and its Subsidiaries certain administrative and support services, and various other services on an as-needed and cost recovery basis the (“Original Agreement”);
