CREDIT AGREEMENT (this “Agreement”), dated as of December 13, 2024, among AIR LEASE CORPORATION, a Delaware corporation (the “U.S. Borrower”), ALC AIRCRAFT FINANCING DESIGNATED ACTIVITY COMPANY, a designated activity company, having its registered office at 22 Earlsfort Terrace, Dublin 2, Ireland and registered in Ireland with company registration number 767899 (the “Ireland Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”), SUMITOMO MITSUI TRUST BANK, LIMITED, NEW YORK BRANCH, as Administrative Agent.
