THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date between SILICON VALLEY BANK, a California corporation (“Bank”), and HEALTHAXIS, INC., a Pennsylvania corporation (“HAXS”), HEALTHAXIS, LTD., a Texas limited partnership (“HXLTD”) and HEALTHAXIS IMAGING SERVICES, LLC, a Texas limited liability company (“HXLLC”; and with HAXS and HXLTD, each individually a “Borrower” and collectively, the “Borrowers”), jointly and severally, provide the terms on which Bank shall lend to Borrowers and Borrowers shall repay Bank.
