AMENDMENT NO. 1 dated as of October 19, 2009 (the “Amendment”), to the Deposit Agreement (the "Deposit Agreement") dated as of January 17, 2002 by and among Wimm-Bill-Dann Foods OJSC (the "Company"), incorporated under the laws of the Russian Federation, Deutsche Bank Trust Company Americas (the "Depositary"), an indirect wholly owned subsidiary of Deutsche Bank A.G. and all Holders and Beneficial Owners from time to time of American Depositary Shares (as defined herein) evidenced by Receipts (as defined herein) issued thereunder.
