AMENDMENT NO. 1, dated as of November 19, 2009 (the "Amendment"), to the Amended and Restated Deposit Agreement dated as of May 21, 2004, (as further amended hereby, the "Deposit Agreement"), among KOREA ELECTRIC POWER CORPORATION, a statutory juridical corporation organized under the Korea Electric Power Corporation Act of 1980, as amended, in the Republic of Korea (the “Company”), JPMORGAN CHASE BANK, N.A., as depositary (the "Depositary"), and all Owners and Beneficial Owners from time to time of American depositary receipts (“ADRs”) issued thereunder.
