AMENDMENT NO. 1, dated as of March 8, 2010 (the "Amendment"), to the Amended and Restated Deposit Agreement dated as of August 1, 2007, among BP p.l.c., a corporation organized under the laws of England and Wales and its successors (the "Company"), JPMorgan Chase Bank, N.A., a national banking association organized under the laws of the United States, as depositary hereunder and any successor as depositary hereunder (the "Depositary"), and all holders from time to time of American Depositary Receipts issued hereunder.
