AMENDMENT NO. 1 TO DEPOSIT AGREEMENT, dated as of November ___, 2011 (the “Amendment”), by and among China Mass Media Corp., an exempted company with limited liability incorporated under the laws of the Cayman Islands and previously known as “China Mass Media International Advertising Corp.”, and its successors (the “Company”), Citibank, N.A., a national banking association organized under the laws of the United States of America and acting in its capacity as Depositary (the “Depositary”), and all Holders and Beneficial Owners of American Depositary Shares (the “ADSs”) outstanding under the Deposit Agreement, dated as of August 4, 2008 (the “Deposit Agreement”).
