SUPPLEMENTAL AGREEMENT NO. 3 dated as of January , 2012 (the "Amendment") to the Amended and Restated Deposit Agreement dated as of October 15, 1999, as amended by Supplemental Agreement No. 1 dated as of October 18, 2004 and Supplemental Agreement No. 2 dated as of September 27, 2007 (as so amended, the "Deposit Agreement"), among Akzo Nobel NV (the "Company"), incorporated under the laws of The Netherlands, Deutsche Bank Trust Company Americas, as depositary (the "Depositary"), and all Holders and Beneficial Owners from time to time of American Depositary Receipts ("ADRs") issued thereunder.
