AMENDMENT No. 2 dated as of , 2015 (the "Amendment") to the Amended and Restated Deposit Agreement dated as of January 4, 2010, as previously amended as of January 27, 2015 (as so previously amended, the "Deposit Agreement") among (i) China Life Insurance Company Limited, a company incorporated under the laws of the People’s Republic of China (the "Company"), (ii) Deutsche Bank Trust Company Americas, an indirect wholly owned subsidiary of Deutsche Bank A.G., acting in its capacity as depositary, and any successor depositary hereunder (the "Depositary"), and (iii) all holders from time to time of American Depositary Receipts ("ADRs") issued thereunder.
