THIRD AMENDMENT dated as , 2017 (the "Amendment") to the Second Amended and Restated Deposit Agreement dated as of July 2, 2013, as amended by those certain Amendments to Deposit Agreement dated as of June 26, 2015 and June 21, 2016 (as so previously amended, the “Agreement”) among Koninklijke Ahold Delhaize N.V., incorporated under the laws of the Netherlands as a public company with limited liability (the "Company"), Deutsche Bank Trust Company Americas, an indirect wholly owned subsidiary of Deutsche Bank AG, in its capacity as the successor depositary (the “Depositary”) and all owners and Beneficial Owners of American Depositary Shares (“American Depositary Shares”) evidenced by American Depositary Receipts (“Receipts”) issued thereunder.
