DEPOSIT AGREEMENT, dated as of April 26, 2016, among ENERSIS CHILE S.A., a sociedad anónima abierta organized and existing under the laws of the Republic of Chile (herein called the “Company”), CITIBANK, N.A., a national banking association organized and existing under the laws of the United States of America acting in its capacity as depositary, and any successor depositary hereunder (the “Depositary”), and all Holders and Beneficial Owners of American Depositary Shares issued hereunder (all such capitalized terms as hereinafter defined).

(formerly, Enersis Chile S.A.), a sociedade anónima abierta organized under the laws of the Republic of Chile (the “Company”), CITIBANK, N.A., a national banking association organized under the laws of the United States of America (the “Depositary”), and all Holders and Beneficial Owners of American Depositary Shares outstanding under the Deposit Agreement, dated as of April 26, 2016, among the Company, the Depositary and all Holders and Beneficial Owners of American Depositary Shares issued thereunder (the “Deposit Agreement”).
