AMENDMENT NO. 1 TO third amended and restated DEPOSIT AGREEMENT, dated as of [●], 2019 (the “2019 Amendment”), by and among PJSC ROSTELECOM, a public joint stock company organized under the laws of the Russian Federation (the “Company”), Citibank, N.A., a national banking association organized under the laws of the United States of America (“Citibank”) and acting in its capacity as successor Depositary (the “Depositary”) under the Original Deposit Agreement (as hereinafter defined), and all Holders (as hereinafter defined) and Beneficial Owners (as hereinafter defined) from time to time of American Depositary Shares outstanding under the Original Deposit Agreement.

THIRD AMENDED AND RESTATED DEPOSIT AGREEMENT dated as of May 11, 2016 (the “Deposit Agreement”) among PJSC ROSTELECOM and its successors (the “Company”), JPMORGAN CHASE BANK, N.A., as depositary hereunder (the “Depositary”), and all holders from time to time of American Depositary Receipts issued hereunder (“ADRs”) evidencing American Depositary Shares (“ADSs”) representing deposited Shares (defined below). The Company hereby appoints the Depositary as depositary for the Deposited Securities and hereby authorizes and directs the Depositary to act in accordance with the terms set forth in this Deposit Agreement. All capitalized terms used herein have the meanings ascribed to them in Section 1 or elsewhere in this Deposit Agreement.
