Introductory. Immunic, Inc. (formerly known as Vital Therapies, Inc. (“Vital Therapies”)), a Delaware corporation (the “Company,” with all references in this agreement to the “Company” also referring to Vital Therapies prior to the date on which, pursuant to the terms of the Exchange Agreement, dated as of January 6, 2019, among Vital Therapies, Immunic AG (“Former Immunic”) and the former shareholders of Former Immunic, the shareholders of Former Immunic exchanged all of their shares for shares of common stock of Vital Therapies, resulting in Former Immunic becoming a wholly-owned subsidiary of Vital Therapies; and in connection therewith, Vital Therapies changed its name to Immunic, Inc.), proposes to issue and sell to the several underwriters named in Schedule A (the “Underwriters”) an aggregate of 5,000,000 shares of its common stock, par value $0.0001 per share (the “Shares”).
