AMENDMENT NO. 2, dated as of December , 2023 (the "Amendment"), to the Second Amended and Restated Deposit Agreement dated as of February 13, 2015, as previously amended as of August 4, 2020 (as so previously amended, the "Deposit Agreement") among SANOFI, a société anonyme organized under the laws of The Republic of France, and its successors (herein called the “Company”), JPMORGAN CHASE BANK, N.A., as depositary hereunder (herein called the “Depositary”), and all Owners and Beneficial Owners from time to time of American Depositary Receipts issued thereunder.
