THIS STOCK PURCHASE AGREEMENT (the “Agreement”), dated as of October 28, 2008, is entered into by and between PROASSURANCE CORPORATION, a Delaware corporation (“PRA”) and PODIATRY INSURANCE COMPANY OF AMERICA, A MUTUAL COMPANY, an Illinois mutual insurance company (“PICA”).
