TO: Northcore Technologies Inc. (the “Corporation”) RE: Offering of units of the Corporation at a conversion price of $0.08 per unit. Each unit consists of one common share in the capital of the Corporation and one full common share purchase warrant with an exercise price of $0.12, exercisable into one common share in the capital of the Corporation.
