THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, Subhash Gulati, MD or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the date hereof (the “Initial Exercise Date”) and on or prior to the close of business on the five year anniversary of the Initial Exercise Date (the “Termination Date”) but not thereafter, to subscribe for and purchase from Redfin Network, Inc., a Nevada corporation (the “Company”), up to 100,000 shares (as subject to adjustment hereunder, the “Warrant Shares”) of Common Stock. The purchase price of one share of Common Stock under this Warrant shall be equal to the Exercise Price, as defined in Section 2(b).

THIS AGREEMENT entered into and effective January 10,2012, in Broward County, Florida, by and between RedFin Network, Inc., (REDFIN) a Florida corporation with corporate offices at 1500 W Cypress Creek Rd., Suite 411, Ft. Lauderdale, FL 33309. (hereinafter referred to as "Employer") and, David Rappa an individual, residing at, 3005 Lake Shore Dr., Deerfield Beach, Fl 33442 (hereinafter referred to as "Employee"); (hereinafter sometimes collectively referred to as “Parties” or singularly as “party”).

This Consulting Agreement is made effective as of the date by which by both parties have executed this Consulting Agreement by and between RedFin Networks, Inc located at Ft. Lauderdale, Florida (“Client”) and Anadyne Enterprises, LLC (“Consultant”) a Florida Limited Liability Corporation with offices in Gulfstream, Florida.
