THIS STOCK PURCHASE AND REORGANIZATION AGREEMENT (this “Agreement”) is made and entered into as of May 7, 2013 by and among AMERELITE SOLUTIONS, INC., a Nevada corporation (the “Company” or the “Issuer”), REGALWORKS MEDIA, INC. a Nevada corporation (“RWMI”), the BUYERS listed on the Buyer Signature Page hereto (each a “Buyer” and, collectively, the “Buyers”), and THE QUICK LAW GROUP, a Colorado limited liability partnership, as the escrow holder and legal counsel to the Company (the “Escrow Holder”). Capitalized terms used in this Agreement without definition shall have the meanings set forth or referenced in Article VIII.
