This Amended and Restated Note Purchase Agreement (this “Agreement”) is made as of May 30, 2023 (the “Effective Date”), by and among Laredo Oil, Inc., a Delaware corporation (the “Company”), and the persons and entities (each, an “Investor” and collectively, the “Investors”) who execute this Agreement. This Agreement is amending and restating in its entirety that certain Note Purchase Agreement, by and between the Company and SMJJB, LLC, dated as of September 23, 2022, as amended to date (the “Prior Agreement”).
