This MEMBERSHIP INTEREST PURCHASE AGREEMENT dated as of July 4, 2007 is made and entered into by and among Gryphon Gold Corporation, a Nevada corporation (''Purchaser''), and Gerald W. Baughman, an individual, and Fabiola Baughman, an individual and together with Gerald W. Baughman, husband and wife (jointly, the ''Sellers'' and individually referred to herein as ''Seller'') and Nevada Eagle Resources LLC, a Nevada limited liability company (''Nevada Eagle'' or the ''Company'').
