Certain of the parties hereto, including without limitation, SunOpta Inc., SunOpta LP, SunOpta Food Group LLC, BMO, Harris, Hancock, Hancock USA, Manulife, Sun Life, the Agent and the US Security Agent, are parties to a third amended and restated credit agreement dated as of December 9, 2005, as amended by a first amending agreement dated as of September 13, 2006 (collectively, the "Original Agreement").
