THIS SHAREHOLDER PROTECTION RIGHTS PLAN AGREEMENT dated as of January 29, 2008 between Tournigan Gold Corporation (the "Corporation"), a corporation incorporated under the laws of the Yukon, and Computershare Investor Services Inc. as Rights Agent (the "Rights Agent", which term shall include any successor Rights Agent hereunder).
