STOCK PURCHASE AGREEMENT, dated as of September 10, 2008 (this “Agreement”), by and among Steve Goertz, an individual (the “Principal”), Flourishing Wisdom Holdings Limited, a Samoan limited company (the “Purchaser”), and GetPokerRakeBack.com, a Nevada corporation (the “Company”).
