This AGREEMENT AND PLAN OF MERGER (hereinafter called this "Agreement"), dated as of December 3, 2009, is entered into between Find the World Interactive, Inc., a Delaware corporation (the "Company") and China Interactive Education, Inc., a Nevada corporation and a wholly owned subsidiary of the Company ("CIE"). The Company and CIE are sometimes together referred to herein as the "Constituent Entities."
