This STOCK PURCHASE AGREEMENT (the “Agreement”), is made as of this 31st day of January, 2010, by and among Nanotech Industries Inc., a corporation organized under the laws of the state of Delaware, (“Nanotech”), Joseph Kristul (“Kristul”), in his own capacity and on behalf of all of the holders of capital stock of Nanotech, (individually the “Seller” and collectively the “Sellers”), and EPOD Solar Inc., a Nevada publicly traded corporation (“EPOD” or the “Buyer”) (each party to this Agreement individually referred to as the “Party” and collectively referred to as the “Parties”).
