STOCK PURCHASE AGREEMENT, dated as of April 5th, 2010 (this “Agreement”), by and among Healthplace Corporation (the “Company”), Richard Patterson and Lissette Valiente (each a Seller and collectively, the “Sellers”) and Essence Consulting & Management Co., Limited (the “Purchaser”). Each of the Company, the Sellers and the Purchaser are referred to herein as a “Party” and collectively, as the “Parties”.
